Jeffrey Hildreth is a CPA specializing in mergers and acquisitions and tax advisory. He works with private equity sponsors, corporate buyers, and founder-led businesses on the tax and financial complexities that arise in strategic transactions.
In the M&A tax practice, Jeffrey advises clients throughout the lifecycle of a transaction—from initial due diligence and structuring through closing and post-deal integration. He leads analyses of stock versus asset acquisitions and advises on structuring considerations, as appropriate, to optimize tax basis step-ups and overall transaction economics.
Jeffrey works closely with clients on purchase price allocation strategies designed to align tax and financial reporting outcomes while maximizing depreciable and amortizable basis. He also assists clients in evaluating how tax attributes such as net operating losses, credits, and other tax positions may affect the structure and economics of a transaction.
Collaborating with legal counsel, valuation specialists, and internal finance teams, Jeffrey helps structure transactions that improve after-tax outcomes, support negotiation strategy, and reduce the likelihood of unexpected tax exposure during or after the deal process. In addition to transaction advisory, he works with growing companies on corporate tax planning and ASC 740 considerations for acquisitions, investments, and expansions.
In addition to his advisory work, Jeffrey teaches at the University of Southern California, where he delivers graduate-level instruction in C corporation and S corporation taxation and teaches managerial accounting to business majors, bridging complex technical concepts with real-world transaction execution.
He holds both a Bachelor of Science in Business Administration and a Master of Business Taxation from USC.
